Terms & Conditions
1. Introduction
Welcome to Aonixe ("Company", "we", "us"). These Terms and Conditions ("Terms") govern your use of our website located at [aonixe.com], the SaaS products we offer, and the custom software solutions we develop for clients (collectively, "Services"). By using our Services or initiating a project, you are deemed to have accepted these Terms in advance.
2. Scope of Services (Bespoke & Products)
Aonixe offers a wide range of technology solutions:
• SaaS and AI Tools: Ready-made, subscription or license-based artificial intelligence tools.
• Custom Software Development: Web, mobile, desktop software, API integrations, and automation systems designed specifically for the client's needs ("tailor-made").
• Consultancy: Professional consultancy services on digital transformation and technical architecture.
3. Payment, Delivery, and No Refund Policy
Due to the nature of our Services, our refund policy is bound by strict standards:
• SaaS and Digital Products: As these are services performed instantly in an electronic environment, there is absolutely no right of refund or withdrawal after purchase.
• Custom Software Projects: In project-based work, Aonixe sells "labor and time". Once project approval is given and work (coding/design) has commenced, refunds for down payments or interim payments are not possible. The Client acknowledges that spent labor cannot be reclaimed.
• Acceptance: Custom software is submitted to the Client for testing (UAT). If no written error notification is made within 7 (seven) days, the project is deemed "delivered complete".
4. Intellectual Property and Licensing
• Aonixe Ownership: All ready-made libraries, core algorithms, SaaS platforms, and "know-how" developed by Aonixe belong to the Company.
• Transfer to Client (For Custom Projects): Ownership of source codes for a software developed specifically for a Client is transferred to the Client only after the full payment (100% of the service fee) has been received by Aonixe accounts. Until payment is complete, all codes and designs remain the property of Aonixe.
5. Client Obligations and Cooperation
Accurate measurement is required for a successful "tailor-made" job. The Client is obliged to:
• Communicate project requirements clearly, accurately, and completely,
• Provide requested approvals and feedback on time (within 3 business days at the latest) during the development process,
• Guarantee that provided data/content complies with copyright laws.
Delays caused by the Client automatically extend the project delivery date.
6. Nature of AI and Software
• Disclaimer: Aonixe does not guarantee that developed software is flawless (bug-free) or will work forever across all platform/browser updates. Software is a living process; it may require maintenance.
• AI Outputs: In AI-integrated projects, Aonixe cannot be held responsible for the accuracy of results generated by AI models.
7. Confidentiality
The Parties undertake to keep trade secrets, client data, and technical information obtained during the business relationship confidential and not to share them with third parties. This obligation continues indefinitely even after the contract ends.
8. Limitation of Liability
Aonixe is not liable for damages arising from the use or inability to use the software, data loss, loss of profit, or interruptions of third-party service providers (e.g., AWS, Google API, Hosting firms). Aonixe's total financial liability shall in no case exceed the amount of the last invoice paid by the Client for that service.
9. Change Requests (Revisions)
In custom projects, any additional feature or change request outside the initially determined scope (Scope of Work) is subject to additional fees and time extension. Even a "minor change" is subject to Aonixe's evaluation as it may affect the software as a whole.
10. Termination
In the event that the Client fails to fulfill payment obligations, Aonixe reserves the right to stop the service, suspend the project, and not deliver the developed codes.
11. Jurisdiction
This agreement is governed by the laws of the Republic of Türkiye. Istanbul Courts and Enforcement Offices are authorized for the resolution of disputes.
